  1. IMPORTANT READ CAREFULLY:

  3. This TGS End-User License Agreement ("License") is a legal 
  4. agreement between you, either an individual, organization, or 
  5. entity ("Recipient) for which includes computer software, 
  6. associated media, documents, both printed and electronic 
  7. ("Software" and "Software Product").
  8.  
  9. BY CLICKING ON THE "ACCEPT" BUTTON OR BY USING OR INSTALLING THIS
  10. SOFTWARE, RECIPIENT IS CONSENTING TO BE BOUND BY AND BECOMING
  11. A PARTY TO THIS AGREEMENT. IF RECIPIENT DOES NOT AGREE TO ALL OF
  12. THE TERMS OF THIS AGREEMENT, RECIPIENT IS NOT AUTHORIZED TO USE
  13. THE SOFTWARE AND MUST CLICK "CANCEL" TO STOP INSTALLATION, OR 
  14. UNINSTALL THE SOFTWARE IF IT IS ALREADY INSTALLED.

  17.               TEMPLATE GRAPHICS SOFTWARE, INC.
  18.             END-USER SOFTWARE LICENSE AGREEMENT
  19.  
  20.  
  21. The Template Graphics Software, Inc. (TGS) Software delivered 
  22. is intended for individual personal use only.  Redistribution 
  23. is not allowed.
  24.  
  25.  
  26. 1. GRANT OF LICENSE:
  27.  
  28.     Copy and Use.  TGS grants to Recipient a limited, non-exclusive
  29. License to use 1 (one) copy of the accompanying TGS Software on a 
  30. single CPU located on the Recipient's premises.  All remaining 
  31. rights are reserved to TGS and its suppliers. TGS and its suppliers
  32. retain all ownership and title to the Software at all times.
  33.  
  34.     Support and Updates. This License does not grant Recipient any
  35. right to technical or Software support of any kind, bug fixes, or 
  36. any enhancement or  update, nor to any extension of time protected 
  37. TGS Software, unless otherwise specified by TGS.
  38.  
  39.     This License applies to any updates or extensions of time 
  40. protected Software which may be supplied to Recipient by TGS.
  41.  
  42.     Redistribution and Content Use. This License prohibits the 
  43. Recipient from redistributing of any part of the Software Product, 
  44. including, but not limited to, images, 3D models, applets,
  45. documents, icons and programs at any time.
  46.  
  47.     VRML Content.  This License grants to the Recipient the right
  48. to use the provided 3D models to create VRML scenes and to distribute
  49. the resulting scenes on the Internet as VRML format files.  At no time may
  50. the 3D content provided with the Software or created using the Software
  51. be distribtued in 3D formats for commercial purposes.
  52.  
  53.     Image Content. This License grants to the Recipient the
  54. right to create Animated GIF, JPG, TGA and BMP files through using the
  55. Software, and to distribute the resulting content commercially and 
  56. non-commercially.  This License does not grant the Recipient the
  57. right to re-distribute image content provided with the Software.
  58.  
  59.  
  60. 2. RESTRICTIONS: 
  61.  
  62.     Copyright, Title, ownership rights, and intellectual property rights
  63. in and for the Software shall remain with TGS and its suppliers. The 
  64. Software is protected by the copyright laws of the United States and 
  65. international copyright treaties. Title, ownership rights, and 
  66. intellectual property rights in and to the content accessed through 
  67. the Software is the property of the applicable content owner and 
  68. may be protected by applicable copyright or other law. This License 
  69. does not provide any rights to Recipient for such content.
  70.  
  71.     Recipient must maintain all copyright notices on all copies of the
  72. Software Product.
  73.  
  74.     Recipient shall not attempt to reverse-engineer, decompile or
  75. take actions to disassemble the Software.
  76.  
  77. 3. DISCLAIMER OF WARRANTY: 
  78.  
  79.     The Software is provided on an "AS IS" basis, without warranty of
  80. any kind, including without limitation the warranties of merchantability,
  81. fitness for a particular purpose and non-infringement. The entire risk 
  82. as to the quality and performance of the Software is borne by Recipient.
  83.  
  84.     Should the Software prove defective, Recipient,and not TGS, assume 
  85. the entire cost of any service and repair. In addition, the 
  86. security mechanism implemented by the Software has inherent 
  87. limitations, and Recipient must determine that the Software 
  88. sufficiently meets Recipientr requirements.  This disclaimer of 
  89. warranty constitutes an essential part of the agreement. 
  90.  
  91.     SOME STATES DO NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, 
  92. SO THIS DISCLAIMER MAY NOT APPLY TO Recipient AND Recipient MAY
  93. HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE OR BY 
  94. JURISDICTION.  
  95.  
  96. 4. LIMITATION OF LIABILITY:
  97.  
  98.     UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, 
  99. OR OTHERWISE, SHALL TGS OR ITS SUPPLIERS OR RESELLERS BE LIABLE 
  100. TO Recipient OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, 
  101. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, 
  102. WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, 
  103. COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL 
  104. DAMAGES OR LOSSES. IN NO EVENT WILL TGS BE LIABLE FOR ANY DAMAGES 
  105. IN EXCESS OF TGS'S LIST PRICE FOR A License TO THE SOFTWARE, EVEN 
  106. IF TGS SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, 
  107. OR FOR ANY CLAIM BY ANY OTHER PARTY. THIS LIMITATION OF LIABILITY 
  108. SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE 
  109. EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME 
  110. STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR 
  111. CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY NOT 
  112. APPLY TO RECIPIENT.
  113.  
  114. 5. TERMINATION:
  115.  
  116.     This License will terminate automatically if Recipient 
  117. fails to comply with the limitations described within this Agreement.
  118. On termination, Recipient must remove the Software from all computers
  119. onto which it is installed, and must destroy or return
  120. all copies of the Software.  
  121.  
  122. 6. EXPORT CONTROLS:  
  123.  
  124.     None of the Software or underlying information or technology may be 
  125. downloaded or otherwise exported or re-exported (i) into 
  126. (or to a national or resident of) Cuba, Iraq, Libya, Yugoslavia 
  127. (Serbia and Montenegro), North Korea, Iran, Syria or any other 
  128. country to which the U.S. has embargoed goods; or (ii) to anyone 
  129. on the U.S. Treasury Department's list of Specially Designated 
  130. Nationals or the U.S.  Commerce Department's Table of Deny Orders. 
  131. By downloading  or using the Software, Recipient agrees to the 
  132. foregoing and Recipient is representing and warranting that 
  133. Recipient is not located in, under the control of, or a national 
  134. or resident of any such country or on any such list.
  135.  
  136. 7. MISCELLANEOUS: 
  137.  
  138.    This Agreement represents the complete agreement concerning this 
  139. License between the parties and supersedes all prior agreements 
  140. and representations between them. It may be amended only by a 
  141. writing executedby both parties. If any provision of this Agreement 
  142. is held to be unenforceable for any reason, such provision shall be 
  143. reformed only to the extent necessary to make it enforceable.
  144.  
  145.     This Agreement shall be governed by and construed under 
  146. California law as such law applies to agreements between 
  147. California residents entered into and to be performed within
  148. California, except as governed by Federal law. The application 
  149. the United Nations Convention of Contracts for the International 
  150. Sale of Goods is expressly excluded.  
  151.  
  152. 8. U.S. Government Restricted Rights:
  153.  
  154.     Use, duplication or disclosure by the Government is subject to 
  155. restrictions set forth in subparagraphs (a) through (d) of the 
  156. Commercial Computer-Restricted Rights clause at FAR 52.227-19 
  157. when applicable, or in subparagraph (c)(1)(ii) of the Rights in 
  158. Technical Data and Computer Software clause at DFARS 252.227-7013,
  159. and in similar clauses in the NASA FAR Supplement.
